TORONTO, Oct.05, 2017(GLOBE NEWSWIRE) -- Osisko Mining Inc. (TSX:OSK) ("Osisko" or the "Corporation") is pleased to announce, further to its announcements on August 29, 2017, that it has completed a "bought deal" brokered private placement of (i) an aggregate of 8,487,800 common shares of the Corporation that will qualify as "flow-through shares" (within the meaning of subsection 66(15) of the Income Tax Act (Canada)) ("Flow-Through Shares") for aggregate gross proceeds of approximately $57.4 million, and (ii) an aggregate of 8,334,450 common shares of the Corporation ("Common Shares") at an issue price of $4.20 per Common Share for aggregate gross proceeds of approximately $35.0 million (the "Offering"). The Flow-Through Shares were issued in two tranches, whereby the first tranche consisted of 6,638,950 Flow-Through Shares at an issue price of $6.93 per "tranche one" Flow-Through Share and the second tranche consisted of 1,848,850 "tranche two" Flow-Through Shares at an issue price of $6.14 per Flow-Through Share.
The Offering was led by Canaccord Genuity Corp. on behalf of a syndicate of underwriters that included BMO Nesbitt Burns Inc., National Bank Financial Inc., Macquarie Capital Markets Canada Ltd., RBC Dominion Securities Inc., Scotia Capital Inc., Eight Capital, Beacon Securities Limited, Cormark Securities Inc., Desjardins Securities Inc., Echelon Wealth Partners Inc., Haywood Securities Inc. and Industrial Alliance Securities Inc.
The gross proceeds from the sale of Flow-Through Shares will be used to fund "Canadian exploration expenses" (within the meaning of the Income Tax Act (Canada)) related to Osisko's projects in Qu?(C)bec on or prior to December 31, 2018 for renunciation to subscribers of Flow-Through Shares effective December 31, 2017. The net proceeds from the sale of Common Shares will be used to fund exploration activities and for general corporate purposes.
All securities issued under the Offering will be subject to a hold period expiring four months and one day from the date hereof. The securities offered have not been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements. Each subscription by an "insider" is considered to be a "related party transaction" for purposes of Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101"). Pursuant to MI 61-101, the Corporation has filed a material change report providing disclosure in relation to each "related party transaction" on SEDAR under Osisko's issuer profile at www.sedar.com. Additionally, the Corporation is exempt from minority shareholder approval requirement in section 5.6 of MI 61-101 in reliance on section 5.7(b) of MI 61-101 as the fair market value of the transaction, insofar as it involves interested parties, is not more than the 25% of the Corporation's market capitalization.
