TORONTO, Dec. 16, 2019 (GLOBE NEWSWIRE) -- Asian Mineral Resources Limited (the “Company”) (ASN-TSX Venture) is pleased to announce that further to its press release dated November 20, 2019, it has received conditional approval from the TSX Venture Exchange (the “Exchange”) to acquire (the “Acquisition”) all the issued and outstanding shares of Nigerian-based Decklar Petroleum Limited (“Decklar”). Closing is expected to take place within the next thirty (30) days pending satisfaction of the closing conditions in respect of the Acquisition, including final approval from the Exchange and receipt of funds from the exercise of not less than 10,000,000 common share purchase warrants of the Company (the “Warrants”) resulting in gross proceeds to the Company of not less than $1,000,000. Post-closing, there will be 54,079,770 common shares issued and outstanding, including the exercise of 10,000,000 Warrants. The Company will provide a further update once closing of the Acquisition has taken place or as may otherwise be required in accordance with the policies of the Exchange and applicable law. Shares of the Company have been halted since November 18, 2019 as a result of the Acquisition and such shares will resume trading today.
