The TSX Venture Exchange fell 11.50 points to 819.19 Thursday. Chris Tate has filed a final prospectus to list his first capital pool shell, Ring the Bell Capital Corp. The shell is selling a $300,000 to $800,000 initial public offering at 10 cents, through Richardson GMP Ltd.

Ring the Bell has 4,700,020 escrowed shares, which it sold at five cents in June and November, 2017. Mr. Tate, 44, holds 500,010 escrowed shares. From 2004 to 2010, he worked at GMP Securities Inc. in Toronto. In 2011, he moved to New York to become the co-president of GMP Securities (USA) Ltd. Then from 2015 to 2016, he served as the president of GMP Securities (USA). He is now back in Toronto.

Mr. Tate is joined by four directors at Ring the Bell: Shaun Heinrichs, Blair Schultz, Kevin Reid andConor Dooley. Mr. Heinrichs, 44, is a Vancouver accountant and a former manager at Ernst & Young LLP. From 2008 to 2015, he was the chief financial officer of a Nevada gold explorer, Veris Gold Corp., which went bankrupt. These days, he is the CFO of an Irish zinc explorer, Group Eleven Resources Corp. (ZNG: $0.25), which listed two months ago with a $5-million IPO at 40 cents. Mr. Heinrichs is the CFO and secretary of Ring the Bell. He holds 500,000 escrowed shares.
